Terms governing venue participation, listings, introductions and commission through Match My Venue
1. Purpose
These Venue Terms & Conditions ("Terms") govern the relationship between Events Networking Limited, trading as Match My Venue, Match My Venue Limited and The Events Consultant Limited ("Match My Venue", "we", "us", "our") and any venue, event space, hotel or supplier ("Venue") participating on the Match My Venue platform or accepting business introduced by us.
By creating a listing, supplying information or accepting an introduction from Match My Venue, the Venue agrees to be bound by these Terms.
2. Our Role
Match My Venue acts solely as an independent venue sourcing agency, introducer and advisory service.
We do not own or operate venues and are not a party to any agreement entered into between a Venue and a Client.
All contracts, invoices, payment obligations, event delivery responsibilities and legal liabilities relating to an event remain solely between the Venue and the Client.
3. Venue Listings
Venue listings are currently provided free of charge unless otherwise agreed in writing.
Listing a Venue on Match My Venue does not guarantee enquiries, recommendations or bookings.
Match My Venue reserves the right to approve, refuse, suspend or remove any listing at its absolute discretion.
4. Marketing & Promotional Licence
By supplying information or participating on the Match My Venue platform, the Venue grants Match My Venue a perpetual, worldwide, royalty-free, non-exclusive licence to use, reproduce, edit, publish, distribute and promote:
Venue name
Logos
Photographs
Videos
Floorplans
Marketing materials
Written descriptions
Event information
Brand assets
for the purposes of operating, marketing and promoting Match My Venue across websites, social media, email marketing, advertising, search engines, AI-powered search functionality and any future promotional channels.
This licence survives termination of the Venue relationship unless otherwise agreed in writing.
5. Content Ownership & Copyright
The Venue warrants that it owns or has obtained all necessary licences, permissions and intellectual property rights for any content supplied to Match My Venue.
The Venue indemnifies and holds harmless Match My Venue, Events Networking Limited and its directors, employees and representatives against any claims, damages, losses, legal costs or liabilities arising from alleged copyright infringement, trademark infringement, image licensing disputes or other intellectual property claims relating to supplied content.
Match My Venue accepts no responsibility for verifying ownership of supplied content.
6. Accuracy of Information
The Venue is solely responsible for ensuring all information supplied to Match My Venue remains accurate and up to date, including but not limited to:
Pricing
Capacities
Facilities
Licences
Accessibility
Event spaces
Accommodation
Catering information
Availability
Images
Health & Safety compliance
Insurance details
The Venue agrees to notify Match My Venue promptly of any material changes.
7. Right to Edit Listings
Match My Venue reserves the right to amend, edit, rewrite, optimise or reformat Venue listings for consistency, branding, readability, accessibility or search engine optimisation whilst maintaining factual accuracy.
8. Commission
Match My Venue earns a commission of 10% plus VAT on all confirmed bookings introduced through our services unless otherwise agreed in writing.
Commission applies to all event revenue relating to the booking including, where applicable:
Venue hire
Catering
Accommodation
Audio visual services
Furniture hire
Production
Delegate packages
Event services
Any additional services purchased through the Venue
The Venue shall provide Match My Venue with a copy of the final client invoice within seven (7) days of the event taking place.
Match My Venue will then issue a commission invoice payable within fourteen (14) days.
Commission remains payable regardless of whether the Venue has received payment from the Client.
Client non-payment remains entirely the commercial risk of the Venue.
9. Verification Rights
Match My Venue reserves the right to request copies of invoices, booking confirmations or other reasonable documentation required to verify commission payable.
Providing false or misleading information regarding booking value shall constitute a material breach of these Terms.
10. Client Ownership & Anti-Circumvention
Clients introduced by Match My Venue remain Match My Venue introductions for commission purposes.
The Venue shall not:
Circumvent Match My Venue
Exclude Match My Venue from negotiations
Re-contract directly to avoid commission
Transfer bookings through another company to avoid commission
Commission remains payable on any booking made by the introduced Client, or any associated company, parent company, subsidiary, agency or representative acting on their behalf, for a period of twenty-four (24) months from the initial introduction.
11. Client Payment Risk
The Venue acknowledges that:
Client payment default remains the Venue's responsibility
Match My Venue provides no financial guarantee
Match My Venue does not underwrite bookings
Match My Venue assumes no liability for unpaid Venue invoices
The Venue remains responsible for obtaining deposits, payment schedules and credit checks where appropriate.
12. Venue Responsibilities
The Venue agrees to:
Honour confirmed bookings
Deliver services professionally
Comply with all applicable legislation
Maintain all necessary licences and permissions
Maintain appropriate insurance cover
Notify Match My Venue of cancellations or material booking changes
Treat introduced Clients fairly and professionally
13. Insurance
The Venue warrants that it maintains appropriate Public Liability Insurance, Employers' Liability Insurance (where applicable) and any additional insurance required to operate events lawfully.
Evidence of insurance may be requested by Match My Venue.
14. Data Protection
The Venue agrees that personal data supplied by Match My Venue shall only be used for the purposes of managing the relevant booking enquiry.
The Venue shall comply with all applicable UK data protection legislation and shall not add introduced Clients to marketing databases without obtaining appropriate consent.
15. Venue Visits & Photography
The Venue grants Match My Venue permission to photograph, film or otherwise create promotional content at the Venue with reasonable notice and subject to operational requirements.
Such content may be used for promotional purposes without additional payment.
16. Venue Recommendations
Match My Venue operates independently.
Venue recommendations are based solely on client requirements, suitability and operational considerations.
Match My Venue does not accept enhanced commissions, gifts or incentives in exchange for preferential recommendation.
17. No Guarantee of Business
Match My Venue makes no guarantee regarding:
Number of enquiries
Number of bookings
Revenue generated
Search rankings
Listing visibility
Venue recommendations remain entirely at Match My Venue's discretion.
18. Force Majeure
Match My Venue shall not be liable for cancellation, delay or disruption resulting from circumstances beyond its reasonable control including but not limited to pandemics, government restrictions, industrial action, terrorism, utility failure, transport disruption, severe weather or acts of God.
19. Limitation of Liability
To the fullest extent permitted by law, Match My Venue shall not be liable for:
Lost revenue
Lost profits
Indirect losses
Consequential losses
Venue operational failures
Client non-payment
Event cancellation
Reputation damage
Any liability of Match My Venue shall be limited to the commission received in relation to the relevant booking.
20. Confidentiality
The Venue agrees to keep confidential all commercial arrangements, pricing structures, client information and business practices obtained through Match My Venue unless disclosure is required by law.
21. Termination
Match My Venue reserves the right to suspend or terminate any Venue relationship or listing at any time where service standards, conduct, reputation or commercial behaviour may negatively impact Clients or the Match My Venue brand.
Clauses relating to commission, confidentiality, intellectual property, liability and anti-circumvention shall survive termination.
22. Amendments
Match My Venue reserves the right to amend these Terms from time to time.
The latest published version shall apply from the date of publication unless otherwise stated.
23. Governing Law
These Terms are governed by the laws of England and Wales.
The parties submit to the exclusive jurisdiction of the English courts.
