Service Terms of Use

By using Match My Venue, you agree to our terms: our service is free for clients, and we are paid a 10% commission by venues on confirmed bookings. Clients must not engage other venue finders during our search, and venues agree to pay commission if a booking proceeds. All quotes, contacts, and proposals are confidential. These terms apply to initial and repeat bookings and are governed by English law.

1. Introduction

Match My Venue is a trading name of Events Networking Limited and operates as a venue-finding agency for corporate and private events across the UK. By using our services — whether as a client or venue — you agree to abide by the terms outlined in this agreement.

These Terms of Use ensure transparency, protect all parties, and outline the expectations, rights, and obligations throughout the venue-finding process.

2. Our Service

Match My Venue provides a free venue-finding service to clients. We are paid a commission by the venue once a booking is confirmed. Clients are not charged directly unless specific additional services are agreed in writing.

3. Terms for Clients

3.1 Exclusive Engagement
By engaging Match My Venue, you agree not to use another venue-finding agent or listing platform for the same enquiry during our engagement. This ensures a focused and streamlined search.

3.2 Termination of Services
You may terminate our services at any time. However, if you proceed to book a venue introduced or contacted by Match My Venue — whether directly or through another agent — the venue remains liable to pay commission to Match My Venue.

3.3 Time & Resource Liability
If you engage another agency, platform, or listing site for the same enquiry while we are actively working on your search, Match My Venue reserves the right to invoice you for time and resources expended up to that point.

3.4 No Suitable Venue Found
If no suitable venue is identified, you may terminate the process without cost or obligation and are free to engage others.

3.5 Confidentiality
You agree to treat all venue proposals, pricing, contact details, and information provided by Match My Venue as confidential and not to share or repurpose this information without written permission.

3.6 Data Protection

4. Terms for Venues

4.1 Commission Structure
By quoting or submitting a proposal for a client introduced by Match My Venue, you agree to pay a 10% commission (plus VAT) based on the total contracted event spend, including all associated services (e.g. venue hire, catering, AV, staffing, etc.).

4.2 Commission Acceptance
If you are unable to pay this commission, you must inform us before submitting a proposal. Failure to do so will be deemed acceptance of our commission terms.

​

4.3 Booking Attribution
If a client introduced by Match My Venue books your venue — directly or via another party/channel — commission remains due to Match My Venue.

​

4.4 Repeat Bookings
If a client introduced by Match My Venue books your venue again within 24 months of the original enquiry (for the same or a different event), Match My Venue is entitled to commission on those future bookings unless agreed otherwise in writing.

4.5 Agreements (Venue–Client Only) & Payment Responsibility
Match My Venue acts solely as an introducer and is not a party to any agreement between the client and the venue and has no authority to bind either party. All bookings, hire agreements, charges, variations, credits and refunds are exclusively between the client and the venue.

The venue is solely responsible for invoicing and collecting payment from the client in line with the venue’s terms. Match My Venue does not hold client monies and is not responsible for invoicing, collecting or chasing any sums due from the client to the venue.

4.6 Commission Invoicing & Payment Terms
Match My Venue will invoice the commission on the event end date (or next business day). Commission is due in full within 14 calendar days of the event end date, regardless of whether the venue has received payment from the client.

4.7 Late Payment & No Set-Off
If any commission is unpaid by the due date, Match My Venue may charge interest at 5% per annum above the Bank of England base rate, accruing daily from the due date until paid in full. Commission payments are not subject to set-off or counterclaim.

4.8 Force Majeure
If the confirmed event is cancelled due to a force majeure event (e.g. government restrictions, natural disaster), no commission will be payable. If the event is postponed and subsequently takes place, commission becomes due on completion of the rescheduled event.

4.9 Confidentiality
You agree to keep all client information, event requirements, and communications from Match My Venue confidential and not to use them outside the purpose for which they were provided.

4.10 No Liability for Client Non-Payment
The venue acknowledges that Match My Venue acts solely as an introducer and has no liability for any sums owed by the client. All credit risk rests with the venue. The venue shall not pursue Match My Venue for any shortfall, chargeback, cancellation, dispute or default by the client, and shall not withhold or delay commission on that basis.

4.11 Indemnity (Client Debts & Contractual Claims)
The venue shall indemnify and hold harmless Match My Venue from and against all losses, costs, claims, damages and expenses arising out of or in connection with (a) the venue’s contract with the client (including non-payment by the client), and (b) any services provided by the venue to the client.

5. General Terms (Applies to All Parties)

5.1 VAT & Invoices
All commission payments are subject to VAT at the applicable rate. Commission invoices are due as set out in 4.6 (14 days from the event end date) unless otherwise agreed in writing.

5.2 Changes to These Terms
Match My Venue may amend these Terms of Use at any time. Updated terms will be published on our website and apply to new engagements from the date of publication.

5.3 Acknowledgement of Agreement
By requesting venue options (clients) or quoting on an enquiry (venues), you confirm acceptance of these terms in full.

​

5.4 Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

​

5.5 No Trust / No Client Monies
Match My Venue does not handle client funds and no trust, escrow, agency or fiduciary relationship arises in respect of any monies due between the venue and the client.
